I . General Terms & Agreement

10.1 Exclusion of Specific Damages: In no event shall Ponies and Pups, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service/Products;

  • Any conduct or content of any third party on the Service;

  • Any unauthorized access, use, or alteration of your transmissions or content

10.2. Liability Cap (The Maximum Limit): In no case shall the maximum total liability of Ponies and Pups for any claim arising out of or related to these Terms, the Products, or the Service, exceed the greater of the amount paid by you to Ponies and Pups for the Product(s) giving rise to the claim in the twelve (12) months preceding the event giving rise to the liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ponies and Pups and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), which result from or arise out of:

  • Your use of the Products or Service, including any damage, injury, or loss of life or property that occurs during the use of our products.

  • Your breach of these Terms.

  • Your violation of any laws or rights of a third party.

V. Miscellaneous and Final Clauses

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of England, without regard to its conflict of law provisions.

  • This means that if there is a legal disagreement, the courts will interpret these Terms based on the laws of England.

13. Dispute Resolution

13.1. Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof (collectively, "Disputes"), the parties agree to first attempt to resolve the Dispute informally for at least thirty (30) days before initiating any formal proceeding.

13.2. Binding Arbitration: If the parties are unable to resolve a Dispute through informal negotiations, the parties agree that the Dispute will be resolved by binding arbitration administered by Consumer Arbitration scheme for consumer-trader disputes in accordance with its applicable rules.

  • The arbitration shall be held in England.

  • The language of the arbitration shall be English.

  • The arbitration award shall be final and binding on both parties.

13.3. Exceptions to Arbitration: Notwithstanding the parties' agreement to resolve all Disputes through arbitration, nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

13.4. Class Action Waiver: You and Ponies and Pups agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and Ponies and Pups agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

V. Miscellaneous and Final Clauses

14. Severability & Waiver

14.1. Severability: If any provision of these Terms is determined by a court of competent jurisdiction to be unlawful, void, or unenforceable for any reason, the parties agree that such provision shall be deemed severed from the remainder of the Terms. The validity and enforceability of the remaining provisions shall not be affected, and those remaining provisions shall remain in full force and effect. The parties agree to negotiate in good faith to replace any unlawful, void, or unenforceable provision with an enforceable provision that reflects, as closely as possible, the original intent of the parties.

14.2. Waiver: No waiver by Ponies and Pups of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Ponies and Pups to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver is only effective if it is in writing and signed by an authorized representative of Ponies and Pups.
